Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and SmartWorks Labs LLC ("SmartWorks Labs," "we," "us," or "our"), governing your access to and use of the codaflo.ai platform, the codaflo.ai marketing website, and all related services (collectively, "the Service").

codaflo.ai is a developer command center designed for managing software projects, securely storing credentials, tracking development sessions, and organizing project documentation. codaflo.ai is a product owned and operated by SmartWorks Labs LLC; it is not a separate legal entity.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.


2. Eligibility

2.1 Age Requirements

You must be at least 13 years of age to create an account or use the Service. If you are between the ages of 13 and 18, you must have the consent of a parent or guardian to use the Service, and that parent or guardian must agree to these Terms on your behalf.

We do not knowingly allow children under the age of 13 to use the Service. If we become aware that a user is under 13, we will take steps to terminate the account and delete associated data.

2.2 Authority

If you are using the Service on behalf of a company, organization, or other entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

2.3 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to use a strong, unique password and to notify us immediately at hello@codaflo.ai if you become aware of any unauthorized access to your account.


3. The Service

3.1 Description

codaflo.ai provides the following core features:

  • Project Management: Create, organize, and manage multiple software projects with various views (tile, list, kanban)
  • Credential Vault: Securely store API keys, passwords, OAuth credentials, tokens, and other sensitive authentication data using AES-256 encryption
  • Session Continuity: Track development sessions with closure summaries and continuation prompts to eliminate context-switching overhead
  • Documentation Hub: Organize and access project-related documentation links
  • Service Account Tracking: Record which service accounts are associated with which credentials and projects
  • Search and Organization: Full-text search, filtering, tags, and smart organization tools

3.2 Service Availability

We make reasonable efforts to maintain the availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance (we will endeavor to provide advance notice when possible), unscheduled maintenance or emergency repairs, factors beyond our reasonable control, including third-party service outages, network disruptions, or force majeure events.

We do not offer a guaranteed Service Level Agreement (SLA). The Service is provided on a commercially reasonable "best efforts" basis.

3.3 Modifications to the Service

We reserve the right to modify, update, or discontinue features of the Service at any time. If we make material changes that significantly reduce the functionality available to you under your current subscription tier, we will provide at least 30 days' notice via email.


4. Subscription Plans and Billing

4.1 Pricing

The Service is offered under Free and Professional subscription tiers. Current pricing, feature inclusions, and plan details are published on the codaflo.ai pricing page at codaflo.ai/pricing, which is incorporated into these Terms by reference.

Pricing and features are subject to change. If we increase pricing for existing subscribers, we will provide at least 30 days' notice before the new pricing takes effect at your next renewal. Price changes do not affect the current billing period.

4.2 Payment Processing

All payments are processed by Stripe, Inc. ("Stripe"), our third-party payment processor. By subscribing to a paid plan, you agree to Stripe's Terms of Service and Privacy Policy. SmartWorks Labs does not directly collect, process, or store your payment card information.

4.3 Billing Cycles and Auto-Renewal

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Subscriptions auto-renew at the end of each billing period unless canceled before the renewal date.

For annual subscriptions, we will endeavor to send a renewal reminder via email in advance of your renewal date where required by applicable law or as a courtesy. Subscription status, renewal dates, and billing history are always accessible through your account settings and the Stripe billing portal. It is your responsibility to manage your subscription and cancel before renewal if you do not wish to continue.

4.4 Cancellation

You may cancel your subscription at any time through the Stripe billing portal, accessible from your account settings within the Platform. Upon cancellation:

  • You retain access to Professional features until the end of your current billing period.
  • After the billing period ends, your account reverts to the Free tier.
  • Your data is not deleted. All projects, credentials, sessions, documentation, and other stored content remain on your account.
  • Projects beyond the Free tier limit become read-only until you either resubscribe or reduce your active projects to within the Free tier limit.

SmartWorks Labs does not delete user accounts or data as a result of subscription cancellation. Your account remains active on the Free tier indefinitely.

4.5 Refund Policy

All sales are final, except as expressly stated in these Terms or required by applicable law. We do not offer refunds for subscription payments, whether monthly or annual. When you subscribe, you gain immediate access to Professional features and retain that access through the end of your billing period, including if you cancel.

In the event of a verified billing error or unauthorized charge, please contact Stripe directly through the billing portal or contact us at hello@codaflo.ai and we will work to resolve the issue. Refunds may also be issued where required by applicable law.

4.6 Plan Changes

You may upgrade or downgrade your subscription at any time. Upgrades from monthly to annual billing, downgrades from annual to monthly billing, and any related prorations are handled automatically by Stripe according to Stripe's standard proration policies.

4.7 Failed Payments

If a payment fails, we will attempt to process the payment again according to Stripe's retry schedule. If payment cannot be collected after repeated attempts, your subscription may be canceled, and your account will revert to the Free tier as described in Section 4.4. Your data remains on your account; it is not deleted due to payment failure.


5. Acceptable Use

5.1 Intended Purpose

codaflo.ai is designed and intended for use as a developer project management and credential storage tool. You agree to use the Service for its intended purpose as described on the codaflo.ai website and in these Terms.

5.2 Prohibited Uses

You agree not to use the Service to:

  • Engage in any unlawful activity or store data obtained through illegal means, including but not limited to stolen credentials, proprietary data obtained without authorization, personally identifiable information of third parties collected without consent, or any data acquired in violation of applicable laws
  • Store or manage information in furtherance of criminal activity, including but not limited to fraud, identity theft, money laundering, drug trafficking, trafficking of any kind, terrorism, or any other criminal enterprise
  • Store classified, restricted, or regulated data that you are not authorized to possess, transfer, or store in a third-party cloud service, including but not limited to government classified information, data subject to regulatory restrictions (such as HIPAA-protected health information, unless you have a separate Business Associate Agreement with SmartWorks Labs, which is not currently offered), or data belonging to your employer or clients that you are not authorized to store in external services
  • Attempt to reverse-engineer, decompile, or circumvent the encryption, security measures, or access controls of the Platform
  • Probe, scan, or test the vulnerability of the Service or any associated system or network, or attempt to breach security or authentication measures without authorization
  • Access or attempt to access another user's account, data, or credentials
  • Use automated means (bots, scrapers, crawlers) to access the Service without our express written permission
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Transmit viruses, malware, or any other malicious code through the Service
  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service

5.3 Your Responsibility for Stored Content

You are solely responsible for all content you store on the Platform, including credentials, project data, session notes, and documentation links. SmartWorks Labs does not monitor, review, or audit the content stored by individual users in the ordinary course of business. Due to the encrypted nature of the credential vault, we do not access credential values under normal operations.

If you store data that violates these Terms, applicable laws, or the rights of third parties, you bear full responsibility for any consequences. SmartWorks Labs is not liable for how you use the Platform or what you choose to store on it.

5.4 Law Enforcement Cooperation

SmartWorks Labs will comply with all applicable laws and will cooperate with law enforcement authorities when required by a valid and legally enforceable warrant, subpoena, or court order. If compelled by law to provide access to user data, we will comply to the extent technically feasible. Given the encrypted nature of credential vault data, our ability to provide decrypted credential values may be limited by our technical architecture.


6. Intellectual Property

6.1 Our Intellectual Property

The Service, including all software, design, branding, trademarks, logos, documentation, and content created by SmartWorks Labs, is the exclusive property of SmartWorks Labs LLC. These Terms do not grant you any right, title, or interest in our intellectual property except for the limited right to use the Service as described herein.

The codaflo.ai name, logo, and "The Solo Coder's OS" tagline are trademarks of SmartWorks Labs LLC.

6.2 Your Content

You retain full ownership of all content you create, upload, or store on the Platform, including project data, credentials, session notes, and documentation links. By using the Service, you grant SmartWorks Labs a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the Service to you.

We do not claim any ownership rights over your content. We do not use your content for training machine learning models, marketing, or any purpose other than operating the Service on your behalf, except as may be described in our Privacy Policy (for example, aggregate analytics).

6.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Service, you grant SmartWorks Labs an unrestricted, perpetual, irrevocable, royalty-free license to use, implement, and incorporate that feedback without obligation to you.


7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your information. By using the Service, you acknowledge that you have read and understood the Privacy Policy.


8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

To the fullest extent permitted by applicable law, SmartWorks Labs expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the availability, reliability, accuracy, or completeness of the Service
  • Warranties that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components
  • Warranties regarding the security or integrity of your data, beyond the security measures described in our Privacy Policy

You acknowledge that no information or advice, whether oral or written, obtained from SmartWorks Labs or through the Service, creates any warranty not expressly stated in these Terms.


9. Limitation of Liability

9.1 Data Loss

SMARTWORKS LABS IS NOT RESPONSIBLE FOR ANY LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS TO YOUR DATA, including but not limited to credentials, project information, session data, or documentation links. While we employ industry-standard security measures including AES-256 encryption, you acknowledge that no system is completely secure and that you use the Service at your own risk.

You are responsible for maintaining your own backups of critical data. The Platform provides export functionality for this purpose.

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SMARTWORKS LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, business opportunities, or goodwill
  • Any damages arising from your use of or inability to use the Service
  • Any damages arising from unauthorized access to or alteration of your data
  • Any damages arising from the conduct or content of any third party on or related to the Service
  • Any damages arising from any content or data stored, transmitted, or received through the Service

IN ALL CASES, THE TOTAL AGGREGATE LIABILITY OF SMARTWORKS LABS FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO SMARTWORKS LABS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. If you are on the Free tier and have never paid, our total liability shall not exceed $50.

9.3 Losses from Use

SMARTWORKS LABS IS NOT RESPONSIBLE FOR ANY LOSSES YOU INCUR AS A RESULT OF USING THE CODAFLO.AI PLATFORM, including but not limited to: financial losses resulting from credential exposure, business losses resulting from service unavailability, losses arising from reliance on data stored on the Platform, losses arising from the actions of third-party service providers used by the Platform, or any consequential damages of any kind.

9.4 Acknowledgment

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability is limited to the greatest extent permitted by applicable law.


10. Indemnification

You agree to indemnify, defend, and hold harmless SmartWorks Labs LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • The content you store, upload, or transmit through the Service
  • Your infringement of any third-party rights, including intellectual property or privacy rights
  • Any unauthorized use of your account, whether by you or a third party

11. Termination

11.1 Termination by You

You may delete your account at any time through the Platform's account settings. Upon account deletion, your data is removed from active systems promptly. Residual copies may persist in encrypted backups for a limited period as described in our Privacy Policy (Section 6.3). Account deletion is permanent and cannot be reversed.

If you wish to stop using the Service without deleting your data, you may cancel your subscription instead. Your account will revert to the Free tier and your data will remain accessible as described in Section 4.4.

11.2 Termination by Us

SmartWorks Labs may suspend or terminate your account if we reasonably determine that you have violated these Terms, including the Acceptable Use provisions; you have engaged in activity that is illegal, fraudulent, or harmful to other users or the Service; your account has been involved in a security breach or unauthorized access; or termination is required by law or regulatory authority.

Where reasonably practical and permitted by law, we will provide notice before terminating your account and give you an opportunity to export your data. In cases of serious violations, illegal activity, or imminent threats to the security of the Service, we may suspend or terminate accounts immediately and without prior notice.

If we terminate your account for reasons other than a violation of these Terms, and you have a paid subscription with time remaining, we will provide a prorated refund for the unused portion of your billing period or as required by applicable law.

11.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately (or at the end of your billing period, if applicable). Sections of these Terms that by their nature should survive termination will survive, including but not limited to Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.


12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at hello@codaflo.ai to attempt to resolve the dispute informally. We will make good-faith efforts to resolve any dispute within 30 days of receiving your notice.

12.2 Mandatory Binding Arbitration

If a dispute cannot be resolved informally, you and SmartWorks Labs agree that any dispute, claim, or controversy arising from or relating to these Terms, the Service, or the relationship between you and SmartWorks Labs shall be resolved exclusively through final and binding arbitration, rather than in court, except as set forth below.

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules or, if the Consumer Arbitration Rules are not applicable (for example, if you are using the Service on behalf of a business entity), under its Commercial Arbitration Rules. Arbitration shall take place in the State of Florida or, at your election, via telephone, video conference, or written submissions. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Arbitration Fees: For claims under $10,000, SmartWorks Labs will pay all AAA filing and arbitration fees. For claims over $10,000, fees shall be allocated according to the AAA Consumer Arbitration Rules. Each party bears its own attorneys' fees unless the arbitrator determines otherwise.

12.3 Arbitration Opt-Out

You may opt out of the mandatory arbitration and class action waiver provisions by sending written notice to hello@codaflo.ai within 30 days of first accepting these Terms. Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in the State of Florida.

12.4 Class Action Waiver

YOU AND SMARTWORKS LABS AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

12.5 Exceptions

The following disputes are exempt from mandatory arbitration: claims that may be brought in small claims court, if eligible; actions to enforce intellectual property rights; and requests for injunctive or equitable relief related to unauthorized access, security breaches, or imminent harm to the Service.

12.6 International Users

For users located in the European Union or other jurisdictions where mandatory pre-dispute arbitration clauses are not enforceable against consumers, the arbitration provisions in this section apply only to the extent permitted by the laws of your jurisdiction. Nothing in these Terms limits your right to bring a claim before the competent courts of your place of residence as provided by applicable consumer protection law.


13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. For users who are not subject to mandatory arbitration, the exclusive jurisdiction for any disputes shall be the state and federal courts located in the State of Florida, except where applicable consumer protection law provides otherwise.


14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and SmartWorks Labs regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. SmartWorks Labs may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

14.5 Notices

We will provide notices to you via the email address associated with your account. You are responsible for keeping your email address current. Notices are deemed received 24 hours after being sent via email.

14.6 Force Majeure

SmartWorks Labs shall not be liable for any failure or delay in performing its obligations where such failure or delay arises from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, acts of government, internet or infrastructure outages, or third-party service failures.


15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. We will also update the "Last Updated" date at the top of this document.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.

The codaflo.ai platform is built using open-source software. We gratefully acknowledge the following projects and their respective licenses:

A complete list of open-source dependencies and their licenses is available in the project's source code repository. Certain third-party libraries (such as Stripe.js) are proprietary and governed by their provider's terms of service rather than open-source licenses.
